Introduction
These Terms and Conditions govern your access to and use of the PrimCard platform, including our website, customer dashboard, virtual card services, wallet services and any other products or services made available under the PrimCard brand.
By creating a PrimCard account, accessing the platform or using any of our services, you confirm that you have read, understood and agree to be bound by these Terms and Conditions together with our Privacy Policy, Cookies Policy, AML and Compliance Policy, Refund and Disputes Policy and Risk Disclosure. These documents form part of the legal agreement between you and PrimCard and should be read together.
If you do not agree with these Terms and Conditions, you must not create an account or use the PrimCard platform.
PrimCard provides a technology platform that enables users to fund and manage virtual payment cards using supported digital assets. The platform combines wallet functionality, virtual card management and payment technology into a single customer experience.
Certain services available through PrimCard are supported by carefully selected third-party technology and infrastructure providers. These providers assist with services such as wallet infrastructure, blockchain connectivity, payment processing, virtual card programmes, cloud hosting, fraud prevention, communications and other operational functions necessary to operate the PrimCard platform.
Your agreement is with PrimCard. The use of third-party infrastructure providers does not create a contractual relationship between you and those providers unless expressly stated otherwise.
PrimCard is not a bank and does not provide current accounts, savings accounts or other regulated banking products. Funds held within your PrimCard account should not be regarded as bank deposits and are not protected by any deposit guarantee scheme unless expressly stated by applicable law.
PrimCard does not provide investment advice, financial advice, tax advice or legal advice. Any information published on the platform, through customer support or within our documentation is provided for general information only and should not be relied upon as professional advice.
The availability of services may vary depending on your country of residence, applicable laws, operational requirements, technical limitations or our internal risk policies. PrimCard reserves the right to restrict or refuse access to certain services where necessary to comply with legal obligations, contractual requirements, security standards or risk management procedures.
PrimCard operates a risk-based onboarding and compliance programme designed to provide a straightforward customer experience while maintaining appropriate safeguards against fraud, financial crime and misuse of the platform. Users are not normally required to complete a traditional document-based identity verification process during registration. However, PrimCard may carry out automated verification, sanctions screening, fraud prevention checks, behavioural analysis and other security measures before or after an account is created.
Where additional verification becomes necessary, PrimCard may request further information or supporting documentation before allowing certain services or transactions to continue. PrimCard reserves the right to restrict, suspend or terminate accounts where such information is not provided or where activity is considered to present an unacceptable level of risk.
These Terms and Conditions apply from the moment you access the PrimCard website or create an account and continue to apply for as long as you use the PrimCard platform, including any period during which your account is temporarily suspended, restricted or pending closure.
Throughout these Terms and Conditions, references to "PrimCard", "we", "our" and "us" refer to the operator of the PrimCard platform. References to "you" and "your" refer to the individual or legal entity using the PrimCard platform.
PrimCard may introduce new products, services or features from time to time. Unless separate terms are published for those services, they will automatically be governed by these Terms and Conditions.
It is your responsibility to read these Terms and Conditions before using the PrimCard platform and to ensure that you understand your rights, responsibilities and obligations. If you have any questions regarding these Terms and Conditions, you should contact PrimCard before creating an account or using the platform.
By continuing to use PrimCard, you acknowledge that you have accepted these Terms and Conditions and agree to comply with them at all times.
Definitions
In these Terms and Conditions, unless the context requires otherwise, the following definitions shall apply.
Account means a registered PrimCard account that enables a user to access the PrimCard platform and its available services.
Available Balance means the amount of supported digital assets or fiat value available for use within your PrimCard account after taking into account completed transactions, pending transactions, fees, reserves and any outstanding amounts owed to PrimCard.
Business Day means any day on which PrimCard and its operational service providers are open for normal business operations, excluding weekends and public holidays where applicable.
Card means a virtual payment card issued through the PrimCard platform by an authorised third-party card programme provider. Card Balance means the available balance allocated to a specific virtual card and available for eligible card transactions. Card Funding means the process of transferring value from your PrimCard Balance to your virtual card through the PrimCard platform.
Chargeback means a dispute initiated through a payment network or card issuer that may result in the reversal of a completed card transaction.
Customer means any individual or legal entity that has registered for and uses a PrimCard account. Digital Assets means cryptocurrencies or other supported blockchain-based assets accepted by PrimCard from time to time.
Fees means any charges payable by a customer for using the PrimCard platform, including but not limited to account services, card creation, card funding, transaction processing, declined transactions, foreign exchange, replacements or any other services published on the PrimCard website.
Foreign Exchange or FX means the conversion of one currency into another during the funding or use of a virtual card.
Outstanding Balance means any amount owed by a customer to PrimCard, including unpaid fees, operational charges, negative balances, chargebacks or any other amounts due under these Terms and Conditions.
Pending Transaction means a transaction that has been authorised or initiated but has not yet been completed, settled, cancelled or reversed.
Platform means the PrimCard website, customer dashboard, mobile applications, APIs and all products and services made available under the PrimCard brand.
PrimCard Balance means the balance displayed within your PrimCard account that is available for funding virtual cards, paying applicable fees and accessing other supported services.
Prohibited Activity means any activity that is unlawful, fraudulent, abusive or otherwise prohibited under these Terms and Conditions, our internal policies or applicable laws.
Refund means the return of funds relating to a completed card transaction following approval by the relevant merchant or payment network.
Risk-based Verification means PrimCard's security and compliance process, sometimes referred to as soft KYC, under which users may be assessed using automated verification, fraud prevention systems, sanctions screening, behavioural analysis and other security measures without routinely requiring document-based identity verification during account registration.
Services means all products, features and functionality made available through the PrimCard platform, whether now existing or introduced in the future. Supported Digital Assets means the cryptocurrencies accepted by PrimCard for funding services as published on the PrimCard platform from time to time.
Transaction means any deposit, card funding, purchase, refund, reversal, adjustment, fee, transfer or other financial activity processed through the PrimCard platform.
User, you and your mean the individual or legal entity accessing or using the PrimCard platform. Virtual Card means a digital payment card issued through the PrimCard platform that can be used for eligible online, mobile wallet or other supported payment transactions.
Where the singular includes the plural, the plural shall also include the singular where the context requires. References to one gender include all genders. Headings are included for convenience only and do not affect the interpretation of these Terms and Conditions.
Where the words including, includes or such as are used, they shall be interpreted as meaning including without limitation. References to any law, regulation or legal requirement include any amendment, replacement or successor legislation.
Any reference to a third-party service provider, infrastructure partner or technology provider means an independent organisation engaged by PrimCard to support the operation of the platform and does not create a direct contractual relationship between that provider and the customer unless expressly stated otherwise.
Eligibility and account registration
To use the PrimCard platform, you must create and maintain a valid PrimCard account. By registering an account, you confirm that the information you provide is accurate, complete and up to date.
You must be at least eighteen (18) years of age, or the age of legal majority in your country of residence if higher, and have the legal capacity to enter into a binding agreement.
By creating an account, you confirm that you are acting on your own behalf unless PrimCard has expressly agreed to provide services to a legal entity or authorised representative.
You may only register one personal account unless PrimCard has approved additional accounts or separate business accounts. PrimCard reserves the right to suspend or close duplicate accounts where they are considered unnecessary, misleading or created to circumvent platform rules, limits or security controls.
When registering an account, you must provide accurate and truthful information. You are responsible for ensuring that your information remains current throughout your use of the PrimCard platform. If your personal information changes, you should update your account without unnecessary delay.
PrimCard may request additional information at any time where reasonably necessary to verify information, investigate unusual activity, protect the platform, comply with contractual obligations or satisfy applicable legal requirements.
Although PrimCard operates a risk-based verification programme and does not normally require document-based identity verification during registration, we reserve the right to request additional information or supporting documentation before allowing access to certain services or where account activity gives rise to security, fraud or compliance concerns.
Registration does not guarantee approval. PrimCard reserves the right to refuse any application, decline the creation of an account or restrict access to specific services without providing detailed reasons where this is necessary to protect the platform, comply with legal obligations or manage operational risk.
Certain countries, territories or jurisdictions may not be supported by PrimCard. We reserve the right to refuse or terminate services where required by applicable laws, sanctions programmes, contractual obligations or our internal risk policies.
You are responsible for maintaining the confidentiality of your login credentials, password, transaction PIN, one-time authentication codes and any other security information associated with your account. You must not share your account with any other person or permit another individual to access the platform using your credentials.
You are responsible for all activity carried out through your PrimCard account unless you have notified PrimCard that your account has been compromised and we have had a reasonable opportunity to take appropriate action.
If you believe that your account has been accessed without your authorisation, your login credentials have been compromised or your security information has been disclosed, you must notify PrimCard immediately through the support channels available on the platform.
PrimCard may temporarily restrict or suspend access to your account where we believe this is necessary to protect your account, investigate suspected fraud, respond to security incidents or prevent unauthorised access.
Your PrimCard account is personal to you and may not be sold, transferred, assigned, leased or otherwise made available to another individual or organisation without the prior written consent of PrimCard.
By completing the registration process, you acknowledge that PrimCard may rely on the information you provide when determining your eligibility to use the platform and when providing access to its services. Providing false, misleading or incomplete information may result in the refusal, suspension or permanent closure of your account.
PrimCard reserves the right to decline future applications from individuals whose accounts have previously been suspended or terminated for fraud, abuse of the platform, breaches of these Terms and Conditions or other activities considered to present an unacceptable level of risk.
The creation of a PrimCard account does not create any obligation on PrimCard to provide every service available on the platform. Access to individual products, features or services may be subject to additional eligibility criteria, operational requirements, geographical restrictions or internal risk assessments.
Your PrimCard account
Your PrimCard account provides access to the services and features made available through the PrimCard platform. Subject to these Terms and Conditions, your account enables you to maintain a PrimCard Balance, create and manage eligible virtual cards, fund cards using supported digital assets, review transaction history and access other services introduced by PrimCard from time to time.
Your account is intended solely for your personal use unless PrimCard has expressly approved a business or corporate account. You must not permit any other person to access, use or control your account, whether directly or indirectly.
You are responsible for ensuring that all information associated with your account remains accurate, complete and up to date. This includes your contact details, security information and any other information that PrimCard may reasonably require to operate your account.
PrimCard may communicate with you using the email address, telephone number or other contact information registered on your account. You are responsible for ensuring that these details remain current so that you can receive important security notifications, transaction alerts and service communications.
Your PrimCard account includes a PrimCard Balance which represents the available value held for use within the PrimCard platform. The PrimCard Balance may be used to fund virtual cards, pay applicable fees and access other supported services offered through the platform.
The PrimCard Balance is not a bank account and should not be regarded as a deposit account. Funds displayed within your PrimCard Balance are available solely for use in connection with the services provided through the PrimCard platform.
Your account may display additional information including transaction history, card balances, pending transactions, completed transactions, declined transactions, refunds, outstanding balances, notifications and other operational information relating to your use of the platform.
Certain balances displayed within your account may be temporarily unavailable while transactions are pending, under review or being processed. PrimCard reserves the right to place temporary holds or reserves on part or all of your available balance where necessary to complete transactions, recover outstanding amounts, investigate suspicious activity or protect the integrity of the platform.
Your account may also contain outstanding balances where fees, adjustments, chargebacks, declined transaction fees or other amounts remain payable to PrimCard. PrimCard reserves the right to recover outstanding balances from future deposits, available account balances or other amounts held within your PrimCard account in accordance with these Terms and Conditions.
PrimCard may introduce additional products, features and services from time to time. Where such services become available, they may automatically appear within your account dashboard. Access to these services may depend on your eligibility, country of residence, internal risk assessment or additional terms that apply specifically to those services.
You are responsible for reviewing all transactions recorded within your account and should notify PrimCard without undue delay if you believe any transaction has been processed incorrectly or if you become aware of any unauthorised activity.
PrimCard reserves the right to correct operational, technical or accounting errors affecting your account. Where reasonably practicable, we will notify you before making such corrections unless immediate action is required to protect the platform, other users or our service providers.
Your account may be temporarily unavailable due to scheduled maintenance, emergency maintenance, technical failures, cybersecurity incidents or circumstances outside the reasonable control of PrimCard. While we aim to minimise service interruptions, we do not guarantee uninterrupted or continuous availability of the platform.
PrimCard may modify, improve, replace or discontinue any feature available through your account where reasonably necessary to improve the platform, comply with legal or contractual obligations, maintain security or support operational requirements.
If your account remains inactive for an extended period, PrimCard may contact you to confirm whether you wish to continue using the platform. Where permitted by applicable law and subject to any outstanding obligations, inactive accounts may be suspended or closed following reasonable notice.
Your PrimCard account remains the property of PrimCard. PrimCard grants you a personal, limited, non-exclusive and revocable right to access and use the account solely in accordance with these Terms and Conditions. No ownership rights in the PrimCard platform, software or associated technology are transferred to you through the creation or use of an account.
Your PrimCard Balance
Your PrimCard Balance represents the available value held within your PrimCard account for use with the services provided through the PrimCard platform. It allows you to fund virtual cards, pay applicable fees and access other services made available through the platform from time to time.
The PrimCard Balance is not a bank account, savings account or payment account. It does not earn interest and should not be regarded as a deposit held with a bank or financial institution. Funds displayed within your PrimCard Balance are maintained solely for the purpose of providing services available through the PrimCard platform.
You may fund your PrimCard Balance using supported digital assets made available by PrimCard. The list of supported digital assets may change from time to time without prior notice.
Each deposit is assigned to your individual PrimCard account through the wallet infrastructure supporting the platform. Customers should only send supported digital assets using the correct blockchain network specified by PrimCard.
Sending unsupported digital assets, using an incorrect blockchain network or sending funds to an incorrect deposit address may result in permanent loss of funds. PrimCard accepts no responsibility for losses arising from customer error, unsupported assets or transactions that cannot be recovered.
Digital asset deposits are credited only after receiving the required blockchain confirmations and any additional processing completed by our infrastructure providers. Processing times may vary depending on blockchain congestion, network conditions, technical issues or other circumstances outside PrimCard's control.
Until a deposit has been successfully confirmed and credited, it will not form part of your available PrimCard Balance and cannot be used to fund virtual cards or access other services. PrimCard reserves the right to delay the crediting of deposits where additional security reviews, fraud prevention measures or technical verification are required.
Your PrimCard Balance may consist of available funds, pending deposits, reserved funds and outstanding obligations. Available funds are immediately available for use. Pending deposits are deposits that have not yet completed processing or blockchain confirmation. Reserved funds are amounts temporarily held while transactions, card funding requests, security reviews or operational processes are being completed. Outstanding obligations include unpaid fees, adjustments, chargebacks or other amounts owed to PrimCard under these Terms and Conditions.
PrimCard reserves the right to reserve or temporarily restrict access to part or all of your available balance where necessary to complete transactions, investigate suspicious activity, recover outstanding amounts or comply with legal or contractual obligations.
If you owe money to PrimCard for transaction fees, declined transaction fees, chargebacks, operational adjustments or other amounts payable under these Terms and Conditions, PrimCard may automatically recover those amounts from your available PrimCard Balance before making additional funds available for use. Where your PrimCard Balance is insufficient to recover an outstanding amount, the remaining balance may continue to be recorded as an Outstanding Balance until sufficient funds become available.
Your PrimCard Balance is intended solely for use within the PrimCard platform. PrimCard reserves the right to introduce, modify or withdraw balance functionality as new products and services become available.
PrimCard may apply minimum funding amounts, maximum funding amounts, balance limits or other operational restrictions where required by our service providers, applicable laws or internal risk policies.
You are responsible for reviewing your PrimCard Balance and transaction history regularly. If you believe your balance has been credited incorrectly or that an unauthorised transaction has occurred, you should notify PrimCard without undue delay.
PrimCard maintains detailed internal records of all balance movements, including deposits, card funding, fees, refunds, adjustments and other financial activity. In the event of any discrepancy, PrimCard's internal transaction records, together with supporting records from our authorised infrastructure providers, shall be used when investigating the matter.
PrimCard reserves the right to correct technical, accounting or operational errors affecting your PrimCard Balance. Where reasonably practicable, you will be notified of any material correction unless immediate action is necessary to protect the platform, other customers or our infrastructure providers.
The availability of your PrimCard Balance does not guarantee that every transaction or service request will be approved. Transactions remain subject to available balance, security checks, technical availability, applicable limits and these Terms and Conditions.
Virtual cards
PrimCard enables eligible customers to create and manage virtual payment cards through the PrimCard platform. Virtual cards are intended for online purchases, subscriptions, digital payments and supported mobile wallet transactions, including Apple Pay and Google Pay where available.
Virtual cards are issued through authorised third-party card programme providers selected by PrimCard. PrimCard manages the customer experience, while certain operational functions relating to the card programme are provided by our infrastructure partners.
The availability of virtual cards may vary depending on your country of residence, applicable laws, operational requirements, infrastructure availability and our internal risk policies.
A virtual card may only be created through your PrimCard account. Before a card is issued, you must have sufficient available funds within your PrimCard Balance to cover the requested card funding amount together with any applicable fees.
Once a virtual card has been successfully created, the requested funding amount will be transferred from your PrimCard Balance to the virtual card. The card balance then becomes available for eligible transactions.
Each virtual card maintains its own individual balance. Funds available on one card are not automatically available on another card unless expressly supported by the PrimCard platform.
Your PrimCard Balance and your virtual card balance are separate balances serving different purposes. Your PrimCard Balance is used to fund virtual cards and pay applicable platform fees, while your virtual card balance represents the amount available to spend using that specific card.
Virtual cards remain the property of the relevant card programme provider and are made available to you solely for use in accordance with these Terms and Conditions and the applicable card programme rules. You must use your virtual card only for lawful purposes and in accordance with all applicable laws, payment network rules and these Terms and Conditions.
PrimCard may impose limits on virtual cards, including limits relating to the number of active cards, funding amounts, transaction values, daily spending, monthly spending, merchant categories or geographical usage. Such limits may be amended from time to time without prior notice where necessary for operational, security or compliance reasons.
Certain merchants, countries, transaction types or merchant category codes may be restricted by PrimCard, the card programme provider or applicable payment network rules. PrimCard does not guarantee that every attempted transaction will be approved, even where sufficient funds are available on the card.
You may manage your virtual card directly through your PrimCard account. Available features may include viewing card details, freezing or unfreezing the card, managing security settings, viewing transaction history and other functions introduced by PrimCard from time to time.
Where supported by the applicable card programme, PrimCard may allow the remaining balance on a virtual card to be returned to your PrimCard Balance. This functionality is not available for every card product and may be subject to operational requirements, additional verification or applicable fees.
Virtual cards may be added to supported digital wallet services such as Apple Pay or Google Pay where available. The availability of these services depends on your device, operating system, geographical location, the card programme and other technical requirements. PrimCard cannot guarantee that every device or digital wallet service will support your virtual card.
You are responsible for ensuring that your virtual card details are kept confidential. You must not disclose your card number, security code, one-time authentication codes or any other sensitive security information to unauthorised persons.
If you believe that your virtual card has been compromised, lost, used without your authorisation or exposed to fraud, you must immediately freeze the card through the PrimCard platform, where available, and notify PrimCard without undue delay.
PrimCard may temporarily suspend, permanently block or replace a virtual card where necessary to protect your account, comply with applicable laws, investigate suspicious activity, respond to instructions from the card programme provider or maintain the security of the platform.
The expiry, replacement or closure of a virtual card does not automatically close your PrimCard account or affect your PrimCard Balance unless expressly stated otherwise.
PrimCard reserves the right to introduce new virtual card products, modify existing card features or withdraw particular card products at any time where reasonably necessary to comply with legal obligations, operational requirements, technological developments or changes to our infrastructure providers.
Funding your PrimCard Balance
Your PrimCard Balance may be funded using the supported digital assets made available by PrimCard from time to time. The list of supported assets, supported blockchain networks and minimum or maximum funding amounts may change without prior notice.
Before making a deposit, you are responsible for ensuring that you are using the correct digital asset, the correct blockchain network and the deposit instructions displayed within your PrimCard account.
PrimCard will generate a deposit address for supported funding transactions. Deposit addresses may change from time to time for operational or security reasons. You should always use the deposit address currently displayed within your PrimCard account when making a new deposit and should not reuse previously displayed addresses unless specifically instructed to do so by PrimCard.
Deposits sent using an unsupported blockchain network, an incorrect digital asset or an incorrect destination address may be permanently lost. PrimCard cannot guarantee the recovery of incorrectly submitted transactions and accepts no responsibility for losses resulting from customer error.
A deposit will only become available after the relevant blockchain transaction has received the required confirmations and any necessary processing has been completed by our authorised infrastructure providers.
Confirmation times vary depending on blockchain conditions, network congestion, technical availability and other circumstances outside PrimCard's control. Estimated processing times displayed on the platform are provided for guidance only and do not constitute a guarantee.
PrimCard reserves the right to delay, suspend or reject a deposit where additional verification, fraud prevention measures, security reviews or technical investigations are considered necessary.
Where a deposit cannot be credited because of technical issues, unsupported assets or operational errors beyond PrimCard's control, we will use reasonable efforts to investigate the matter. However, PrimCard does not guarantee that all incorrectly submitted deposits can be recovered.
Funds credited to your PrimCard Balance remain available within the PrimCard platform and may be used to fund virtual cards, pay applicable fees and access other supported services. Depositing digital assets into your PrimCard Balance does not automatically fund your virtual card. Card funding requires a separate instruction from you through the PrimCard platform.
PrimCard may impose minimum deposit amounts, maximum deposit amounts, daily funding limits, monthly funding limits or other operational restrictions where required by our infrastructure providers, internal risk policies or applicable legal requirements.
Where a deposit is identified as potentially fraudulent, associated with prohibited activity or otherwise considered to present an unacceptable level of risk, PrimCard may temporarily withhold the funds while appropriate enquiries are carried out.
PrimCard reserves the right to refuse deposits originating from sanctioned addresses, prohibited jurisdictions, blockchain addresses associated with criminal activity or any source considered to present an unacceptable compliance or operational risk.
Blockchain transactions are irreversible once confirmed on the relevant blockchain network. Customers should carefully verify all deposit details before sending digital assets, as completed blockchain transactions generally cannot be cancelled, amended or reversed.
Any blockchain network fees charged by miners, validators or blockchain networks are separate from the fees charged by PrimCard and remain the responsibility of the customer.
PrimCard may change the supported digital assets, supported blockchain networks or funding methods available on the platform at any time where necessary to improve the service, respond to technological developments, comply with legal obligations or meet the requirements of our infrastructure partners.
Your PrimCard Balance will only be updated once PrimCard has received confirmation that the deposit has been successfully processed and credited through the underlying payment infrastructure. Until that time, the deposit will remain pending and will not be available for use.
PrimCard maintains detailed records of all deposits, including blockchain references, timestamps, credited amounts, processing status and associated account information. These records may be used to investigate disputes, resolve technical issues, respond to customer enquiries or satisfy legal and regulatory obligations.
Funding your virtual card
PrimCard enables customers to fund their virtual cards using supported digital assets through a simple and automated funding process.
When you select the amount you wish to add to your virtual card, PrimCard will calculate the total amount payable, including any applicable fees. Before confirming the transaction, the platform will display the amount that will be credited to your card together with all applicable charges.
Once you confirm the transaction, PrimCard will provide the necessary funding instructions for the selected digital asset and blockchain network. After your digital asset transfer has been successfully received and processed through the underlying payment infrastructure, the corresponding value will automatically be credited to your selected virtual card. No additional action is required from you after the funding transaction has been confirmed.
The processing of card funding depends on blockchain confirmation times, payment infrastructure processing and operational availability. Although PrimCard aims to complete card funding as quickly as possible, processing times may vary and immediate availability cannot be guaranteed.
Where additional security checks, fraud prevention measures or technical reviews are required, PrimCard may temporarily delay the funding process until the relevant checks have been completed.
If a funding transaction cannot be completed due to a technical failure or operational issue after the digital assets have been successfully received, PrimCard will investigate the transaction and take appropriate steps to complete the funding or otherwise resolve the matter in accordance with its operational procedures.
PrimCard may apply minimum funding amounts, maximum funding amounts, daily limits, monthly limits or other operational restrictions depending on the virtual card programme, infrastructure providers and internal risk policies.
Once a virtual card has been successfully funded, the available balance may be used immediately for eligible purchases, online payments and supported mobile wallet transactions, including Apple Pay and Google Pay where available.
Funding transactions are generally final once they have been processed. Customers should carefully review the funding amount before confirming a transaction, as completed funding requests cannot normally be cancelled or reversed except where required by applicable law or where a technical error has occurred.
PrimCard maintains detailed records of all funding transactions, including transaction references, timestamps, funding amounts, applicable fees and processing status. These records form part of the official account history and may be used when investigating enquiries, disputes or technical issues.
Fees and charges
PrimCard charges fees for certain services provided through the platform. By creating an account and using the PrimCard platform, you agree to pay all applicable fees associated with your use of the services.
Our current fees are published on the PrimCard website and may also be displayed within your account before a transaction is confirmed. Fees may vary depending on the service used, the card programme, the transaction type, the currency involved or other operational requirements.
PrimCard reserves the right to introduce new fees, amend existing fees or remove fees where necessary to reflect changes in operational costs, infrastructure providers, market conditions, legal requirements or business operations. Where reasonably practicable, updated fees will be published before they become effective.
The fees charged by PrimCard may include, but are not limited to, account services, virtual card creation, card funding, transaction processing, declined transactions, foreign exchange, card replacement, balance withdrawals where supported, premium services and any other optional features introduced by PrimCard.
Some services provided through the PrimCard platform may also involve charges imposed by third-party infrastructure providers, payment networks, blockchain networks or other service providers. Where such charges apply, they may either be included within the fee displayed by PrimCard or charged separately where appropriate.
Blockchain network fees are determined by the relevant blockchain network and are outside PrimCard's control. Such fees may vary depending on network congestion and other technical factors.
Before confirming certain transactions, PrimCard will display the applicable fees together with the total amount that will be deducted from your available PrimCard Balance. By confirming the transaction, you authorise PrimCard to deduct the total amount, including any applicable fees.
Certain fees may arise after a transaction has been completed. These may include declined transaction fees, chargeback costs, refund processing costs, foreign exchange adjustments, operational recovery fees or other charges associated with the continued operation of your account or virtual cards.
Where fees become payable after a transaction has been processed, PrimCard may automatically deduct the relevant amount from your available PrimCard Balance. If your available PrimCard Balance is insufficient to cover the applicable fee, PrimCard may record the amount as an Outstanding Balance.
Outstanding Balances may be automatically recovered from future deposits, refunds, balance adjustments or any other funds subsequently credited to your PrimCard account.
PrimCard reserves the right to suspend certain services where Outstanding Balances remain unpaid for an extended period or where repeated unpaid fees indicate misuse of the platform or an increased operational risk.
Fees paid to PrimCard are generally non-refundable unless otherwise required by applicable law or where PrimCard determines that a refund is appropriate following the investigation of a technical or operational error.
If a transaction fails before being successfully processed, any fees already deducted may be refunded where appropriate. The decision to refund fees remains at PrimCard's discretion unless otherwise required by law.
PrimCard reserves the right to offset any amounts owed by you against any funds held within your PrimCard account where such action is permitted under these Terms and Conditions.
You remain responsible for all fees associated with your account regardless of whether transactions are initiated by you, by authorised users of your account or through services connected to your account using your credentials.
Any taxes, duties or governmental charges arising from your use of the PrimCard platform remain your responsibility unless applicable law expressly provides otherwise.
PrimCard will maintain detailed records of all fees charged to your account. In the event of any discrepancy regarding fees, PrimCard's internal transaction records together with supporting records from our authorised infrastructure providers shall be used when investigating the matter.
Continued use of the PrimCard platform following the publication of updated fees constitutes your acceptance of the revised fee schedule unless applicable law requires your separate consent.
Transactions
Your virtual card may be used to make eligible purchases wherever the relevant payment network is accepted, subject to the card programme rules, applicable laws, merchant acceptance and these Terms and Conditions.
Each transaction is subject to the available balance on your virtual card at the time the transaction is authorised. Having sufficient funds in your PrimCard Balance does not authorise a transaction unless those funds have already been successfully allocated to the virtual card.
Transactions may be authorised, declined, reversed, refunded or adjusted depending on the outcome of the payment process, merchant actions, payment network rules and the requirements of our authorised infrastructure providers.
PrimCard does not guarantee that every transaction will be approved. Transactions may be declined for a variety of reasons, including but not limited to insufficient card balance, merchant restrictions, technical issues, suspected fraud, security reviews, payment network requirements, geographical restrictions or temporary service interruptions.
Some merchants may request a pre-authorisation amount before completing the final transaction. During this period, the authorised amount may be temporarily unavailable until the merchant completes, adjusts or releases the transaction.
The final amount charged by a merchant may differ from the original authorised amount where permitted by the applicable payment network rules. Examples include hotels, vehicle rental companies, restaurants, subscription services or merchants that apply delayed settlement.
Certain transactions may remain pending for a period before they are finally settled. During this time, the relevant amount may be reserved against your available card balance and cannot be used for other purchases.
Where a transaction is cancelled before settlement, the reserved amount will normally be released back to the available card balance. The timing of any release depends on the merchant, the payment network and the underlying card programme.
Transactions made in a currency different from the currency of your virtual card may be converted using the applicable exchange rate determined by the payment network or authorised infrastructure provider. Foreign exchange charges may apply in accordance with the PrimCard fee schedule.
Some merchants may apply their own exchange rates or additional charges where Dynamic Currency Conversion or similar services are offered. PrimCard has no control over such charges and accepts no responsibility for exchange rates selected by merchants.
You are responsible for reviewing your transaction history regularly and notifying PrimCard without undue delay if you believe that a transaction has been processed incorrectly or has not been authorised by you.
PrimCard may temporarily delay, review or decline transactions where necessary to investigate suspected fraud, protect customer accounts, comply with legal obligations or satisfy the operational requirements of our authorised infrastructure providers.
Transaction records displayed within your PrimCard account are provided for your convenience and may occasionally be updated to reflect changes received from merchants, payment networks or authorised infrastructure providers.
Completed transactions are generally considered final unless they are subsequently refunded, reversed, adjusted or become the subject of a chargeback or dispute under the applicable payment network rules.
PrimCard maintains detailed records of all transaction activity, including transaction references, timestamps, merchant information, currencies, exchange rates where applicable, authorisation status, settlement status and associated fees. These records may be used to investigate disputes, technical issues, security incidents or operational enquiries.
PrimCard reserves the right to introduce additional transaction controls, spending limits, merchant restrictions or security measures where necessary to protect the platform, comply with legal obligations or improve the security and reliability of the services provided.
Declined transactions
A transaction may be declined for a variety of operational, technical, security or commercial reasons. A declined transaction does not necessarily indicate a problem with your PrimCard account or virtual card.
Transactions may be declined where there are insufficient funds available on the virtual card, where the merchant rejects the transaction, where the payment network declines the authorisation, where fraud prevention controls are triggered or where the transaction does not satisfy the applicable card programme rules.
Additional reasons for a declined transaction may include merchant restrictions, unsupported merchant categories, geographical restrictions, temporary technical issues, expired cards, incorrect payment details, spending limits, transaction limits, security reviews or other operational requirements imposed by PrimCard or our authorised infrastructure providers.
Where available, PrimCard will display the reason for a declined transaction within your account or transaction history. The information provided is based on the response received from the payment infrastructure and may not always contain detailed information.
Certain declined transactions may result in an applicable service fee in accordance with the PrimCard fee schedule. Such fees may apply regardless of whether the purchase was successfully completed.
Where a declined transaction fee applies, PrimCard may automatically deduct the applicable amount from your available PrimCard Balance. If your available PrimCard Balance is insufficient to cover the applicable fee, the unpaid amount may be recorded as an Outstanding Balance.
Outstanding Balances may be recovered automatically from future deposits, refunds, balance adjustments or any other funds credited to your PrimCard account.
Repeated declined transactions may result in additional security reviews or temporary restrictions where PrimCard reasonably believes that the activity indicates fraud, misuse of the platform, attempted circumvention of spending limits or other activity presenting an increased operational risk.
Customers are responsible for ensuring that sufficient funds are available on their virtual card before attempting to make a purchase. Having sufficient funds within your PrimCard Balance does not guarantee that a transaction will be approved unless those funds have already been successfully allocated to the virtual card.
PrimCard is not responsible for losses arising from transactions declined by merchants, payment networks or authorised infrastructure providers where such decisions are outside PrimCard's reasonable control.
Where a transaction is declined due to a temporary technical issue, you may attempt the transaction again once the issue has been resolved. Repeated attempts to process the same declined transaction within a short period may trigger additional fraud prevention measures or temporary restrictions.
PrimCard maintains records of all declined transactions, including the transaction amount, merchant information, timestamps, response codes, decline reasons where available and any applicable fees. These records may be used when investigating customer enquiries, technical issues, suspected fraud or operational disputes.
PrimCard reserves the right to amend the way declined transactions are handled where required by changes to payment network rules, operational requirements, legal obligations or the services provided by our authorised infrastructure partners.
Outstanding balances and recovery
PrimCard expects all fees and charges associated with your account to be paid when they become due. In certain circumstances, an amount may remain outstanding where applicable fees cannot be collected immediately from your available PrimCard Balance.
An Outstanding Balance may arise where there are insufficient funds available to pay applicable service fees, declined transaction fees, operational adjustments, chargeback costs, recovery charges or any other amount payable under these Terms and Conditions.
Where an Outstanding Balance exists, PrimCard reserves the right to recover the outstanding amount automatically from any future funds credited to your PrimCard account. Recovery may take place from future deposits, refunds, balance adjustments or any other value subsequently credited to your PrimCard Balance.
Amounts recovered will normally be applied to the oldest Outstanding Balance first unless PrimCard determines that a different allocation is necessary for operational or legal reasons.
If your account contains both available funds and an Outstanding Balance, PrimCard may deduct the outstanding amount before making the remaining balance available for funding virtual cards or accessing other services.
Where an Outstanding Balance remains unpaid for an extended period, PrimCard may temporarily restrict access to certain services, prevent the creation of additional virtual cards, suspend card funding, freeze existing virtual cards or suspend your account until the outstanding amount has been recovered or otherwise resolved.
Repeated failure to maintain sufficient funds to cover applicable fees, repeated unpaid balances or any attempt to avoid payment of legitimate fees may result in additional account reviews or permanent closure of your PrimCard account.
PrimCard may offset any amount owed by you against any funds held on your behalf within the PrimCard platform where such action is permitted by these Terms and Conditions or applicable law.
If an Outstanding Balance cannot be recovered through your PrimCard Balance, PrimCard reserves the right to pursue any other lawful method of recovery available to it, including recovery through legal proceedings where appropriate.
Recovery of Outstanding Balances does not affect PrimCard's right to investigate the circumstances that gave rise to the outstanding amount or to apply additional security measures where fraudulent, abusive or prohibited activity is suspected.
Where an Outstanding Balance has resulted from a technical error or operational mistake made by PrimCard, we will investigate the matter and, where appropriate, adjust your account accordingly.
PrimCard maintains detailed records of all Outstanding Balances, recovery actions, adjustments and related account activity. These records may be used when investigating customer enquiries, resolving disputes, responding to legal requests or protecting the integrity of the platform.
Nothing in this section limits PrimCard's right to recover any amount properly owed under these Terms and Conditions or to exercise any other rights available under applicable law.
Refunds, reversals and chargebacks
Transactions made using a PrimCard virtual card are processed through authorised payment networks and infrastructure providers. Refunds, reversals and chargebacks are governed by the applicable payment network rules, merchant procedures and the operational requirements of the relevant card programme.
A completed transaction is generally considered final unless it is subsequently refunded, reversed or successfully disputed in accordance with the applicable payment network rules.
PrimCard cannot independently approve or issue refunds for purchases made from merchants. Refund requests must normally be made directly to the merchant from whom the goods or services were purchased.
Where a merchant approves a refund, the refund will be processed through the relevant payment network before being credited to the appropriate balance. Refund processing times vary depending on the merchant, the payment network, the authorised infrastructure providers and the operational procedures of the relevant card programme. PrimCard cannot guarantee when a refund will be completed.
A reversal may occur where an authorised transaction is cancelled before settlement or where the merchant releases a previously authorised amount. Where applicable, the relevant amount will be returned to the available card balance once the reversal has been processed.
Refunds and reversals are not controlled by PrimCard and are dependent upon confirmation received through the payment infrastructure. PrimCard cannot accelerate, modify or manually complete a refund or reversal that is awaiting processing by the relevant parties.
Where supported by the applicable card programme, refunded amounts may be credited either to the virtual card or otherwise processed in accordance with the operational procedures of the relevant infrastructure providers.
If you believe a transaction has been processed incorrectly or was not authorised by you, you should notify PrimCard as soon as reasonably practicable after becoming aware of the transaction.
PrimCard may request additional information to investigate a disputed transaction. This may include transaction details, supporting documents, correspondence with the merchant or any other information reasonably required to assess the matter.
Chargebacks are governed by the applicable payment network rules and may not be available for every transaction or every virtual card programme. The availability of a chargeback depends on the circumstances of the transaction and the requirements of the relevant payment network. Submitting a dispute does not guarantee that a chargeback will be accepted or that funds will be recovered.
Where a chargeback is initiated, PrimCard may request supporting documentation within specified time limits. Failure to provide the requested information may affect the ability to pursue the dispute.
Any fees associated with chargebacks, dispute investigations or recovery procedures may be charged to your account where permitted under the applicable card programme or the PrimCard fee schedule.
PrimCard reserves the right to decline assistance with disputes that are considered fraudulent, abusive, submitted outside the applicable time limits or otherwise inconsistent with these Terms and Conditions.
Where a transaction is found to have resulted from fraud, unauthorised use or a technical error, PrimCard will investigate the matter and take appropriate action in accordance with the applicable payment network rules, these Terms and Conditions and our internal procedures.
PrimCard maintains detailed records of refunds, reversals, disputes and chargebacks, including transaction references, merchant information, correspondence, supporting documentation and processing history. These records may be used to investigate disputes, respond to legal requests, satisfy audit requirements and protect the integrity of the PrimCard platform.
Nothing in this section limits any rights you may have under applicable consumer protection legislation where such rights cannot lawfully be excluded or restricted.
Risk-based verification
PrimCard operates a risk-based verification programme designed to provide a straightforward customer experience while maintaining appropriate safeguards against fraud, financial crime and misuse of the platform.
Unlike many traditional financial institutions, customers are not normally required to complete a document-based identity verification process before creating an account or accessing the standard services offered through the PrimCard platform.
Instead, PrimCard uses a combination of automated verification, fraud prevention technology, sanctions screening, behavioural analysis, device intelligence and transaction monitoring to assess the level of risk associated with each customer and each transaction.
The level of verification applied to an account is dynamic and may change throughout the lifetime of the customer relationship. Verification requirements may vary depending on account activity, transaction values, funding patterns, geographical location, security events, suspected fraud or other risk indicators identified by PrimCard or its authorised service providers.
PrimCard reserves the right to request additional information or supporting documentation at any time where this is considered reasonably necessary to protect the platform, investigate suspicious activity, comply with legal or contractual obligations or satisfy the operational requirements of our infrastructure partners.
Additional verification may include confirmation of identity, proof of ownership of digital assets, confirmation of the source of funds, confirmation of residential address or any other information reasonably required to complete an internal review.
Failure to provide requested information within a reasonable period may result in restrictions being applied to your account. Such restrictions may include delays in processing transactions, temporary suspension of virtual cards, restrictions on funding services or temporary suspension of your PrimCard account.
PrimCard is not obliged to disclose the specific risk assessment criteria, fraud detection methods or security procedures used when evaluating accounts or transactions, as doing so could reduce the effectiveness of our security controls and fraud prevention measures.
Completion of the account registration process does not guarantee continued access to the PrimCard platform. PrimCard may reassess customer accounts at any time and may request additional verification whenever considered appropriate.
Where PrimCard determines that an account presents an unacceptable level of legal, financial, operational or reputational risk, we reserve the right to decline transactions, restrict services, suspend virtual cards, suspend the account or terminate the customer relationship in accordance with these Terms and Conditions.
PrimCard may also refuse to process transactions originating from prohibited jurisdictions, sanctioned individuals or entities, high-risk blockchain addresses or any activity that appears to involve fraud, money laundering, terrorist financing, sanctions evasion or other unlawful conduct.
All information collected during the verification process will be processed in accordance with the PrimCard Privacy Policy and will only be retained for as long as necessary to satisfy legal, contractual, operational or security requirements.
Nothing in this section prevents PrimCard from applying additional verification requirements in the future where required by changes in applicable laws, payment network rules, infrastructure provider requirements or PrimCard's internal risk management policies.
Fraud prevention and compliance
PrimCard is committed to maintaining a secure platform and takes reasonable measures to prevent fraud, financial crime, unauthorised use and other activities that may compromise the integrity of our services.
By using the PrimCard platform, you acknowledge that PrimCard may monitor account activity, funding activity, card transactions and other platform usage for security, operational and compliance purposes.
PrimCard operates automated and manual monitoring systems designed to identify unusual activity, suspicious transaction patterns, attempted fraud, account compromise, prohibited use and other activity that may present an increased level of risk.
Monitoring may include the review of account behaviour, transaction frequency, transaction values, merchant activity, geographical indicators, device information, login activity, blockchain activity, funding patterns and other information relevant to the safe operation of the platform.
PrimCard reserves the right to delay, decline, suspend or cancel any transaction where we reasonably believe that additional review is necessary or where the transaction appears inconsistent with these Terms and Conditions, our internal policies or applicable legal requirements.
You agree not to use the PrimCard platform for any unlawful, fraudulent or prohibited purpose. Without limitation, you must not use PrimCard to facilitate money laundering, terrorist financing, sanctions evasion, fraud, identity theft, theft of digital assets, unauthorised payment activity, deceptive practices or any activity that violates applicable laws or regulations.
You must not use PrimCard to knowingly receive, transfer or process funds that originate from criminal activity or any other unlawful source.
PrimCard reserves the right to investigate any activity that appears unusual, inconsistent with your normal account behaviour or otherwise presents an increased operational, financial or legal risk.
During an investigation, PrimCard may request additional information, temporarily restrict account functionality, suspend virtual cards, delay transactions or temporarily prevent access to certain services until the review has been completed.
Where required by applicable law or where necessary to protect the platform, PrimCard may cooperate with competent authorities, payment networks, authorised infrastructure providers or other relevant organisations in connection with fraud investigations, financial crime prevention or other lawful enquiries.
PrimCard may refuse to provide services to individuals, organisations, merchants or jurisdictions that are subject to sanctions, legal restrictions or other risk controls imposed by applicable law, payment network requirements or our internal compliance policies.
You are responsible for ensuring that your use of PrimCard complies with all laws applicable to you in your country of residence and any country from which you access or use the platform.
If PrimCard reasonably believes that your account has been used in connection with fraudulent, unlawful or prohibited activity, we may immediately suspend or terminate your account without prior notice where permitted by applicable law.
PrimCard's fraud prevention procedures are designed to protect both our customers and the platform as a whole. For security reasons, PrimCard is not required to disclose the specific criteria, monitoring systems, risk models or detection methods used when assessing transactions or customer activity.
Nothing in this section limits PrimCard's right to take any action reasonably necessary to protect the platform, its customers, its authorised infrastructure providers or its legitimate business interests where fraud, financial crime or other prohibited activity is suspected.
Account restriction, suspension and termination
PrimCard reserves the right to restrict, suspend or terminate your account, your virtual cards or access to specific services where this is reasonably necessary to protect the platform, our customers, our authorised infrastructure providers or to comply with applicable legal, contractual or operational requirements.
Restrictions may be applied temporarily or permanently depending on the circumstances giving rise to the review.
PrimCard may temporarily restrict your account while investigating unusual account activity, suspected fraud, security incidents, operational issues, disputes, payment irregularities or other matters requiring additional review.
During a period of restriction, certain services may be unavailable. This may include the creation of new virtual cards, funding of existing cards, card transactions, withdrawals where supported or access to other platform features.
PrimCard may suspend your account immediately where we reasonably believe that continued access could expose PrimCard, other customers or our infrastructure providers to financial loss, legal risk, fraud, cybersecurity threats or other material risks.
Without limitation, PrimCard may restrict or suspend your account where: information provided during registration is inaccurate, false or misleading; you fail to comply with these Terms and Conditions; additional verification requested by PrimCard is not provided within a reasonable period; fraudulent, unlawful or prohibited activity is suspected; your account has been compromised or accessed without authorisation; your account is used in a manner inconsistent with its intended purpose; outstanding balances remain unpaid for an unreasonable period; or continued access would breach applicable laws, payment network requirements or contractual obligations imposed by our authorised infrastructure providers.
Where reasonably practicable, PrimCard will notify you of any restriction or suspension. However, PrimCard may delay or withhold such notification where immediate action is necessary to protect the platform, comply with legal obligations or avoid compromising fraud prevention or security investigations.
A restriction or suspension does not prevent PrimCard from continuing to investigate your account or from requesting additional information where necessary.
You may request that your PrimCard account be closed at any time by contacting customer support, provided there are no pending transactions, unresolved disputes, outstanding balances, legal restrictions or other obligations preventing closure. Before an account can be closed, all applicable fees, outstanding balances and pending obligations must be satisfied.
The closure of your account does not affect any rights or obligations that arose before the account was closed, including PrimCard's right to recover unpaid fees, investigate previous activity or comply with legal or regulatory obligations.
PrimCard may permanently terminate your account where we determine that continuing the customer relationship presents an unacceptable legal, financial, operational or reputational risk. Termination may occur immediately where permitted by applicable law and may be carried out without prior notice where necessary to protect PrimCard, our customers, our authorised infrastructure providers or to comply with legal obligations.
Where an account is terminated, access to the PrimCard platform, virtual cards and associated services may be disabled immediately. Subject to applicable law and any outstanding obligations, PrimCard will take reasonable steps to deal with any remaining eligible balances in accordance with our internal procedures and the operational requirements of our authorised infrastructure providers.
PrimCard is not obliged to approve future account applications from customers whose accounts have previously been suspended or terminated for breaches of these Terms and Conditions, fraudulent activity, abuse of the platform or any conduct that PrimCard reasonably considers to present an unacceptable level of risk.
The rights set out in this section are in addition to, and do not limit, any other rights or remedies available to PrimCard under these Terms and Conditions or applicable law.
Security and your responsibilities
You are responsible for maintaining the security of your PrimCard account and for taking all reasonable steps to protect your login credentials, virtual cards and personal information from unauthorised access.
You must keep your username, password, transaction PIN, one-time verification codes and any other security credentials confidential at all times. You must not disclose this information to any other person or allow any third party to access your account on your behalf unless expressly authorised by PrimCard.
You are responsible for all activity carried out through your PrimCard account until you notify PrimCard that your account or security credentials may have been compromised and we have had a reasonable opportunity to take appropriate action.
If you suspect that your account, virtual card, password, transaction PIN or any other security information has been lost, stolen, compromised or used without your authorisation, you must notify PrimCard immediately through the support channels available on the platform.
Where available, you should immediately freeze your virtual card if you believe it has been compromised or used without your permission. If card freezing is not available, you should contact PrimCard without undue delay so that appropriate action can be taken.
You are responsible for ensuring that the devices used to access your PrimCard account are adequately protected against malware, viruses, spyware, unauthorised software and other cybersecurity threats.
You should only access the PrimCard platform using secure internet connections and should avoid using public or unsecured networks when accessing your account or carrying out financial transactions.
PrimCard will never ask you to disclose your password, transaction PIN or one-time authentication codes through email, telephone, social media or any unsolicited communication. If you receive such a request, you should treat it as fraudulent and report it to PrimCard immediately.
You are responsible for reviewing your account activity, transaction history and notifications regularly. If you identify any unauthorised activity or believe that an error has occurred, you should notify PrimCard as soon as reasonably practicable. Failure to report unauthorised activity without undue delay may affect PrimCard's ability to investigate the matter or recover any associated losses.
PrimCard may introduce additional security measures from time to time, including multi-factor authentication, device verification, transaction confirmations, security notifications or other protective features. You agree to comply with such measures where they are reasonably required to protect the platform and your account.
PrimCard reserves the right to refuse access to the platform, require additional authentication or temporarily suspend access where we reasonably believe that your account has been compromised or where continued access may present a security risk.
You are responsible for ensuring that any email address and telephone number registered on your account remain accurate and accessible, as PrimCard may use these details to deliver security alerts, verification codes and important account notifications.
PrimCard shall not be responsible for losses resulting from your failure to maintain the security of your account, protect your login credentials, update your contact details or comply with the security requirements set out in these Terms and Conditions, except where such losses arise directly from PrimCard's own negligence or wilful misconduct.
The security of the PrimCard platform is a shared responsibility between PrimCard and its customers. By using the platform, you agree to act responsibly and to cooperate with any reasonable security measures introduced to protect your account, other users and the integrity of the PrimCard services.
Intellectual property
The PrimCard platform, including its website, applications, software, source code, user interface, design, graphics, logos, trademarks, branding, text, documentation, databases and all other content made available through the platform, is owned by PrimCard or its licensors and is protected by applicable intellectual property laws.
Your use of the PrimCard platform does not transfer to you any ownership rights in the platform or any part of it. PrimCard grants you a limited, personal, non-exclusive, non-transferable and revocable licence to access and use the platform solely for its intended purpose and in accordance with these Terms and Conditions.
You may not copy, reproduce, distribute, publish, modify, translate, adapt, reverse engineer, decompile, disassemble or otherwise attempt to derive the source code of any part of the PrimCard platform unless expressly permitted by applicable law.
You may not create derivative works based upon the PrimCard platform or use any part of the platform for commercial purposes without the prior written consent of PrimCard.
The PrimCard name, logo, branding, trade dress, graphics and all associated trademarks, whether registered or unregistered, remain the exclusive property of PrimCard or the relevant rights holder. Nothing contained within these Terms and Conditions grants you any licence or right to use any PrimCard intellectual property except as expressly permitted.
You must not remove, alter or obscure any copyright notices, trademarks, proprietary notices or other legal notices displayed on the PrimCard platform. You agree not to use the PrimCard platform in any manner that infringes the intellectual property rights of PrimCard or any third party.
Where you submit feedback, suggestions, ideas, recommendations or other comments regarding the PrimCard platform, you acknowledge that PrimCard may use such information without restriction and without any obligation to provide compensation, acknowledgement or attribution.
PrimCard respects the intellectual property rights of others and expects its users to do the same. If you believe that material made available through the PrimCard platform infringes your intellectual property rights, you should notify PrimCard with sufficient information to allow us to investigate the matter.
PrimCard reserves the right to remove, disable or restrict access to any content that is believed to infringe intellectual property rights or otherwise breach these Terms and Conditions.
Nothing in these Terms and Conditions shall be interpreted as transferring ownership of any intellectual property belonging to PrimCard, our licensors or our authorised infrastructure providers. All rights not expressly granted under these Terms and Conditions are reserved by PrimCard.
Disclaimer of warranties
The PrimCard platform is provided on an "as available" and "as is" basis to the maximum extent permitted by applicable law.
Whilst PrimCard aims to provide a reliable, secure and uninterrupted service, we do not warrant or guarantee that the platform will always be available, uninterrupted, error-free, secure or free from delays, interruptions or technical defects.
PrimCard does not guarantee that every transaction, card funding request, virtual card transaction, blockchain transfer or other service request will be processed successfully or within any particular timeframe.
The availability of certain services depends on third-party infrastructure providers, blockchain networks, payment networks, internet service providers and other systems outside PrimCard's reasonable control. PrimCard accepts no responsibility for delays, interruptions or failures resulting from the acts or omissions of such third parties.
PrimCard does not warrant that the platform will always meet your individual requirements or that every feature will remain available indefinitely. We reserve the right to modify, suspend, replace or discontinue any feature or service where reasonably necessary for operational, legal, commercial or technical reasons.
Blockchain networks are decentralised systems that operate independently of PrimCard. We do not control blockchain confirmation times, network congestion, transaction fees, protocol changes, forks or any other blockchain-related events and cannot guarantee the timing or successful completion of blockchain transactions.
PrimCard does not guarantee the continued availability of any particular digital asset, blockchain network, virtual card programme or payment method. Supported services may change from time to time based on operational requirements, technological developments or changes implemented by our authorised infrastructure providers.
Information made available through the PrimCard platform, including guides, articles, support responses, notifications or other communications, is provided for general information only and should not be interpreted as financial advice, investment advice, legal advice, tax advice or any other form of professional advice.
You remain solely responsible for determining whether the PrimCard platform and its services are appropriate for your individual circumstances and for obtaining independent professional advice where necessary.
Except where expressly stated in these Terms and Conditions or where required by applicable law, PrimCard makes no warranties, representations or guarantees, whether express or implied, regarding merchant acceptance of virtual cards, transaction approvals, exchange rates, uninterrupted platform availability, compatibility with third-party applications or the availability of specific products or services.
Nothing in this section excludes or limits any warranty that cannot lawfully be excluded under applicable law. Where applicable consumer protection legislation provides mandatory rights or guarantees, those rights shall continue to apply to the extent required by law.
Limitation of liability
To the fullest extent permitted by applicable law, PrimCard shall not be liable for any indirect, incidental, consequential, special, exemplary or punitive damages arising out of or in connection with your use of the PrimCard platform or any services provided through it.
This limitation includes, without limitation, any loss of profits, loss of business, loss of revenue, loss of anticipated savings, loss of opportunity, loss of goodwill, loss of data, business interruption or any other indirect or consequential loss, even if PrimCard has been advised of the possibility of such loss.
PrimCard shall not be responsible for losses resulting from delays, interruptions or failures caused by blockchain networks, payment networks, telecommunications providers, internet service providers, cloud hosting providers, authorised infrastructure providers, merchants or any other third party outside PrimCard's reasonable control.
PrimCard shall not be liable for losses arising from the use of incorrect wallet addresses, unsupported digital assets, unsupported blockchain networks, incorrect transaction details or other instructions provided incorrectly by the customer.
PrimCard accepts no responsibility for losses resulting from unauthorised access to your account where such access occurs as a result of your failure to protect your password, transaction PIN, authentication codes, recovery information or other security credentials.
PrimCard shall not be liable for losses arising from the temporary suspension of services, planned maintenance, emergency maintenance, software updates, cybersecurity incidents, technical failures or any action reasonably taken to protect the security or integrity of the platform.
PrimCard is not responsible for the quality, delivery or legality of any goods or services purchased using a virtual card issued through the PrimCard platform. Any dispute regarding goods or services purchased from a merchant must be resolved directly with the relevant merchant, subject to any applicable payment network rules.
PrimCard does not guarantee that every transaction, refund, reversal or chargeback request will be successful and shall not be liable where a transaction is declined, delayed, reversed or rejected by a merchant, payment network or authorised infrastructure provider.
Where PrimCard is found liable for any claim arising directly from the provision of its services, PrimCard's total aggregate liability shall not exceed the total amount of fees paid by you to PrimCard during the twelve (12) months immediately preceding the event giving rise to the claim, unless a greater amount is required by applicable law.
Nothing in these Terms and Conditions excludes or limits PrimCard's liability for fraud committed by PrimCard, wilful misconduct, gross negligence where such limitation is prohibited by law, death or personal injury caused by PrimCard's negligence or any other liability that cannot lawfully be excluded or limited under applicable law.
You acknowledge that the fees charged by PrimCard reflect the allocation of risk between you and PrimCard as set out in these Terms and Conditions and that PrimCard would not be able to provide the platform on the same commercial basis without these limitations of liability.
Indemnity
You agree to indemnify, defend and hold harmless PrimCard, its directors, officers, employees, contractors, affiliates, authorised service providers and agents from and against any claims, demands, actions, proceedings, liabilities, damages, losses, costs and expenses, including reasonable legal fees, arising out of or in connection with your use of the PrimCard platform.
This indemnity applies where any claim, loss or liability arises as a result of your breach of these Terms and Conditions, your misuse of the PrimCard platform, your breach of applicable laws or regulations, your infringement of the rights of any third party or your fraudulent, negligent or unlawful conduct.
You agree to indemnify PrimCard for any losses arising from inaccurate, incomplete or misleading information provided by you during account registration, verification or whilst using the PrimCard platform.
Where PrimCard incurs costs, penalties, losses or liabilities as a result of transactions initiated through your account, you agree to reimburse PrimCard for those amounts where such losses arise from your actions, omissions or breach of these Terms and Conditions.
You remain responsible for all activity carried out through your PrimCard account unless you have notified PrimCard that your account has been compromised and PrimCard has had a reasonable opportunity to take appropriate action.
Nothing in this section requires you to indemnify PrimCard for losses resulting solely from PrimCard's own fraud, wilful misconduct or negligence where such indemnity would be prohibited by applicable law.
PrimCard reserves the right to assume the exclusive conduct and control of the defence of any matter for which you are required to provide indemnification. Where this occurs, you agree to cooperate fully with PrimCard and provide all reasonable assistance requested in connection with the defence, investigation or settlement of the relevant matter.
The obligations contained in this section shall survive the suspension, closure or termination of your PrimCard account and shall continue for as long as necessary to resolve any outstanding claims, liabilities or legal proceedings arising from your use of the PrimCard platform.
Force majeure
PrimCard shall not be liable for any delay, interruption, failure or inability to perform any obligation under these Terms and Conditions where such delay, interruption or failure results from events or circumstances beyond our reasonable control.
Such events may include, but are not limited to, natural disasters, floods, earthquakes, fires, storms, epidemics, pandemics, war, armed conflict, terrorism, civil unrest, riots, strikes, labour disputes, government actions, sanctions, changes in law, regulatory restrictions, court orders or the failure of public utilities.
Force majeure events also include failures or disruptions affecting blockchain networks, payment networks, telecommunications providers, internet service providers, cloud hosting providers, cybersecurity providers, data centres, authorised infrastructure providers or any other third-party systems upon which PrimCard reasonably relies to provide its services.
PrimCard shall not be responsible for delays caused by blockchain congestion, network outages, protocol changes, blockchain forks, validator failures, mining interruptions or other events affecting supported digital assets or blockchain networks that are outside PrimCard's reasonable control.
Where a force majeure event occurs, PrimCard may temporarily suspend or limit some or all of its services for as long as reasonably necessary to manage the effects of the event and restore normal operations.
PrimCard will make reasonable efforts to minimise disruption and resume normal services as soon as reasonably practicable. However, we do not guarantee that services will remain continuously available during a force majeure event.
Where reasonably practicable, PrimCard may provide updates through the website, customer dashboard or other communication channels regarding significant service interruptions affecting the platform.
Nothing in this section relieves either party of obligations that arose before the occurrence of the force majeure event, including any obligation to pay fees, settle outstanding balances or comply with these Terms and Conditions where performance remains reasonably possible.
If a force majeure event continues for an extended period and materially affects PrimCard's ability to provide the platform, PrimCard reserves the right to suspend, modify or discontinue affected services without incurring liability, to the extent permitted by applicable law.
Governing law and dispute resolution
These Terms and Conditions shall be governed by and interpreted in accordance with the laws applicable to the legal entity operating the PrimCard platform, without regard to any conflict of law principles that would require the application of the laws of another jurisdiction.
By using the PrimCard platform, you agree that any dispute, claim or controversy arising out of or relating to these Terms and Conditions, your PrimCard account or the services provided through the platform shall be resolved in accordance with this section.
Before commencing formal legal proceedings, both you and PrimCard agree to make reasonable efforts to resolve any dispute through good faith discussions.
If you have a complaint regarding the PrimCard platform or any of our services, you should first contact PrimCard through the support channels available on the platform. We will make reasonable efforts to investigate your complaint and provide a response within a reasonable period.
Where a dispute cannot be resolved through discussion, either party may pursue any legal remedies available under the applicable laws governing these Terms and Conditions.
Nothing in these Terms and Conditions prevents PrimCard from seeking urgent or interim relief, including injunctions or other protective measures, before any court or competent authority where such action is necessary to protect the PrimCard platform, customer funds, confidential information, intellectual property or other legitimate business interests.
Nothing in this section limits PrimCard's right to report suspected fraud, financial crime, cybersecurity incidents or unlawful activity to competent authorities or to cooperate with law enforcement agencies, regulators, payment networks or authorised infrastructure providers where required by law or reasonably necessary to protect the platform.
If any provision of these Terms and Conditions is found by a court or competent authority to be invalid, unlawful or unenforceable, that provision shall be interpreted as closely as possible to reflect its original purpose, and the remaining provisions shall remain in full force and effect.
Any failure or delay by PrimCard in exercising a right or remedy under these Terms and Conditions shall not constitute a waiver of that right or remedy. A waiver shall only be effective if made expressly in writing by an authorised representative of PrimCard.
These Terms and Conditions constitute the entire agreement between you and PrimCard in relation to your use of the PrimCard platform and supersede any previous agreements, understandings or representations relating to the same subject matter, except where additional terms expressly apply to a specific service or product.
The rights and remedies available to PrimCard under these Terms and Conditions are cumulative and do not exclude any other rights or remedies available under applicable law.
Changes to these Terms and Conditions
PrimCard reserves the right to amend, update or replace these Terms and Conditions at any time to reflect changes to our services, technology, operational procedures, infrastructure providers, business practices, applicable laws or regulatory requirements.
As the PrimCard platform continues to develop, new products, services and functionality may be introduced. Where these developments affect your rights or obligations, these Terms and Conditions may be revised accordingly.
We may also amend these Terms and Conditions where changes are necessary to maintain the security of the platform, improve customer protection, address operational risks, comply with payment network requirements or satisfy contractual obligations with our authorised service providers.
The most recent version of these Terms and Conditions will always be published on the PrimCard website together with the date on which they become effective.
Where a proposed amendment is material and is reasonably likely to affect your rights or obligations, PrimCard may provide additional notice through the website, customer dashboard, email or other communication channels before the updated Terms and Conditions take effect, where reasonably practicable.
Your continued access to or use of the PrimCard platform after revised Terms and Conditions become effective constitutes your acceptance of those changes to the extent permitted by applicable law.
If you do not agree with any amendment to these Terms and Conditions, you must stop using the PrimCard platform and may request closure of your account in accordance with these Terms and Conditions.
Where applicable law requires your express consent before particular changes become effective, PrimCard will obtain such consent before implementing those changes.
No employee, representative or third party is authorised to amend these Terms and Conditions on behalf of PrimCard unless such amendment has been approved in writing by an authorised representative of PrimCard.
Previous versions of these Terms and Conditions may be retained by PrimCard for legal, regulatory, audit and record-keeping purposes.

You are responsible for ensuring that your contact information remains accurate and up to date. PrimCard shall not be responsible for any delay or failure in delivering communications where your registered contact details are inaccurate, incomplete or no longer valid.
Where you wish to submit a complaint regarding the PrimCard platform or the services provided, you should first contact PrimCard through our customer support team. We will investigate your complaint and make reasonable efforts to resolve the matter promptly and fairly.
Nothing in this section limits any rights you may have under applicable law to contact a competent authority where such rights cannot lawfully be excluded.
