Introduction

This Risk Disclosure explains the principal risks associated with using the PrimCard platform and the services made available through it. It is intended to help you understand the nature of the services provided by PrimCard and the risks that may arise when using digital assets, blockchain networks and virtual payment cards.

By creating a PrimCard account or using any part of the PrimCard platform, you acknowledge that you have read and understood this Risk Disclosure and accept the risks described in this document.

PrimCard provides a technology platform that enables customers to fund and manage virtual payment cards using supported digital assets. While we aim to provide secure, reliable and efficient services, the use of digital assets and payment technology involves risks that cannot be completely eliminated.

Customers should carefully consider whether the PrimCard platform is appropriate for their personal circumstances before using our services.

The value of digital assets may fluctuate significantly over short periods of time. Blockchain networks operate independently of PrimCard and may experience delays, congestion, technical failures or other events that affect transaction processing.

Virtual card services are supported by authorised third-party infrastructure providers and payment networks. The availability and operation of these services may be affected by factors outside PrimCard's reasonable control.

Although PrimCard maintains security controls, compliance procedures and operational safeguards designed to reduce risk, no technology platform, payment system or blockchain network can guarantee complete protection against every operational, technical or cybersecurity risk.

Customers are responsible for understanding the services they use, maintaining appropriate security over their accounts and ensuring that transactions are submitted accurately before they are confirmed.

Nothing contained within this Risk Disclosure should be interpreted as financial advice, investment advice, legal advice or tax advice. PrimCard does not recommend the purchase, sale or holding of any digital asset and makes no representation regarding the future value or performance of any cryptocurrency.

This Risk Disclosure describes the principal risks associated with the PrimCard platform but does not attempt to identify every possible risk. Additional risks may arise as technology, financial markets, blockchain networks, payment systems and applicable laws continue to evolve.

This Risk Disclosure should be read together with the PrimCard Terms and Conditions, Privacy Policy, AML & Compliance Policy, Refund & Disputes Policy and Cookies Policy, all of which form part of the legal framework governing your use of the PrimCard platform.

General risk warning

The PrimCard platform provides access to services involving digital assets, blockchain technology and virtual payment cards. The use of these services involves financial, operational and technological risks that should be carefully considered before using the platform.

By using PrimCard, you acknowledge that all transactions are carried out at your own risk and that you are responsible for understanding the services you use and the risks associated with them.

PrimCard does not guarantee that the platform will always be available, uninterrupted or free from delays, technical issues or operational interruptions. Temporary disruptions may occur due to scheduled maintenance, emergency maintenance, cybersecurity incidents, blockchain congestion, payment network issues or circumstances beyond PrimCard's reasonable control.

The availability of certain services may change over time. PrimCard may introduce, modify, suspend or discontinue products, supported digital assets, virtual card programmes or other services where necessary to comply with legal obligations, respond to operational requirements or improve the platform.

Customers remain responsible for ensuring that all transaction details are correct before confirming a transaction. Blockchain transactions are generally irreversible once confirmed, and incorrect wallet addresses, unsupported blockchain networks or incorrect transaction details may result in permanent loss of funds.

Virtual card transactions are also generally irreversible once authorised and settled, except where refunds, reversals or chargebacks are available under the applicable payment network rules.

PrimCard cannot guarantee that every transaction will be approved. Transactions may be delayed, declined or cancelled due to fraud prevention controls, compliance reviews, merchant restrictions, payment network requirements, insufficient card balances, technical issues or other operational factors.

The value of supported digital assets may increase or decrease significantly over short periods of time. PrimCard accepts no responsibility for any financial loss resulting from changes in the market value of cryptocurrencies before, during or after a transaction.

Customers are responsible for complying with the laws applicable in their own country of residence and for determining whether the use of the PrimCard platform is lawful within their jurisdiction. Changes in legislation, regulatory requirements, sanctions programmes or payment network rules may affect the availability of certain services without prior notice.

PrimCard does not provide financial advice, investment advice, tax advice or legal advice. Customers remain solely responsible for obtaining independent professional advice where appropriate.

Although PrimCard applies security controls, compliance procedures and fraud prevention measures designed to reduce risk, no technology platform or financial service can eliminate all risks associated with digital assets, online services or electronic payments.

Customers should never use the PrimCard platform for funds that they cannot reasonably afford to place at risk and should ensure that they fully understand the operation of digital assets, blockchain transactions and virtual payment cards before using the services provided by PrimCard.

Cryptocurrency risks

PrimCard allows customers to use supported digital assets to fund virtual payment cards. Digital assets differ significantly from traditional currencies and involve risks that may not be present when using conventional financial products.

The value of cryptocurrencies may fluctuate rapidly and significantly due to market conditions, liquidity, economic events, regulatory developments, technological changes and other factors outside PrimCard's control.

PrimCard does not control the market value of any supported digital asset and accepts no responsibility for any gains or losses resulting from changes in cryptocurrency prices before, during or after a transaction. Customers are solely responsible for deciding whether to acquire, hold or transfer any digital asset used with the PrimCard platform.

Blockchain transactions are generally irreversible once confirmed on the relevant blockchain network. If digital assets are sent to an incorrect wallet address, an unsupported blockchain network or an incorrect destination, the transaction may not be recoverable and the assets may be permanently lost. Customers are responsible for verifying all transaction details before confirming any transfer.

The availability of supported digital assets may change over time. PrimCard reserves the right to add, suspend or remove supported cryptocurrencies where necessary due to operational requirements, security considerations, changes implemented by authorised infrastructure providers or applicable legal obligations.

Blockchain networks operate independently of PrimCard and may experience congestion, delayed confirmations, software upgrades, protocol changes, forks, validator failures or other technical events that affect transaction processing. PrimCard has no control over the operation of public blockchain networks and cannot guarantee confirmation times or uninterrupted network availability.

Blockchain network fees are determined by the relevant blockchain network and may change without notice depending on network activity. These fees are outside PrimCard's control and remain the responsibility of the customer where applicable.

Customers should understand the characteristics and risks associated with each supported digital asset before using it to access PrimCard services. PrimCard does not guarantee the long-term availability, technical stability or continued acceptance of any cryptocurrency supported by the platform.

Changes to blockchain protocols, consensus mechanisms, wallet standards or network infrastructure may affect the availability or operation of supported digital assets without prior notice.

PrimCard continuously reviews supported digital assets and reserves the right to suspend or discontinue support for any cryptocurrency where continued support is considered to present an operational, legal, technical or security risk.

Customers remain solely responsible for understanding the risks associated with cryptocurrencies and for ensuring that any digital assets used with the PrimCard platform are transferred correctly and in accordance with the instructions displayed on the platform.

Blockchain transaction risks

PrimCard uses blockchain technology to facilitate the funding of virtual cards through supported digital assets. Blockchain networks operate independently of PrimCard and are not owned, managed or controlled by us. All blockchain transactions are subject to the rules, technical limitations and operating conditions of the relevant blockchain network.

Once a blockchain transaction has been confirmed, it is generally irreversible. PrimCard cannot cancel, reverse or amend a completed blockchain transaction.

Customers are solely responsible for ensuring that the correct wallet address, blockchain network and digital asset are selected before initiating a transaction. Sending digital assets to an incorrect wallet address, using an unsupported blockchain network or transferring an unsupported digital asset may result in permanent loss of funds. PrimCard cannot guarantee that incorrectly submitted transactions can be recovered.

Transaction confirmation times depend entirely on the relevant blockchain network and may vary due to network congestion, validator activity, protocol upgrades, blockchain maintenance or other technical factors outside PrimCard's reasonable control. Estimated processing times displayed by PrimCard are provided for guidance only and should not be interpreted as guaranteed settlement times.

Blockchain transactions may also be affected by unexpected events including network outages, blockchain forks, protocol upgrades, consensus failures, validator issues, cyberattacks or software vulnerabilities affecting the relevant blockchain network.

PrimCard does not control blockchain transaction fees. Network fees are determined by the blockchain itself and may increase or decrease significantly depending on network demand. Customers remain responsible for ensuring that sufficient network fees are paid where applicable to enable successful processing of blockchain transactions.

Certain blockchain transactions may require additional compliance reviews or security checks before they are credited to a PrimCard account or used to fund a virtual card. Such reviews may result in temporary processing delays where reasonably necessary to protect the platform or comply with legal obligations.

PrimCard cannot guarantee uninterrupted availability of any blockchain network and accepts no responsibility for losses resulting from blockchain failures, network congestion, protocol changes, software defects or other events beyond our reasonable control.

Customers acknowledge that blockchain technology continues to evolve and that new operational, technical or security risks may arise over time. PrimCard continuously reviews supported blockchain networks and reserves the right to suspend or discontinue support for any network where continued support presents an unacceptable operational, legal or security risk.

By using supported digital assets through the PrimCard platform, you acknowledge and accept the inherent risks associated with blockchain technology and understand that certain events affecting blockchain networks are outside the control of PrimCard.

Virtual card risks

PrimCard enables customers to fund and use virtual payment cards for eligible purchases and supported digital wallet services. The use of virtual cards involves operational and payment-related risks that customers should understand before using the platform.

Virtual cards are provided through authorised third-party card programme providers and payment networks. As a result, certain aspects of the card service depend on systems, rules and infrastructure that are outside PrimCard's direct control.

PrimCard cannot guarantee that every merchant will accept a virtual card. Merchant acceptance depends on the merchant's payment systems, the applicable payment network, merchant category restrictions, geographical limitations and other factors beyond PrimCard's reasonable control.

Transactions may be declined even where sufficient funds are available on the virtual card. This may occur due to merchant restrictions, payment network requirements, security controls, temporary technical issues, fraud prevention measures, spending limits or operational requirements imposed by authorised infrastructure providers.

Some merchants may request a temporary authorisation amount before completing the final purchase. During this period, part of your available card balance may be temporarily reserved until the transaction is completed, adjusted or released by the merchant.

Certain merchants, including hotels, vehicle rental companies, subscription providers and similar businesses, may submit delayed settlements, additional charges or revised transaction amounts after the original authorisation has taken place. These transactions are governed by the applicable payment network rules and may affect your available card balance.

Refunds, reversals and chargebacks are processed through the relevant payment network and authorised infrastructure providers. PrimCard does not control the processing time or outcome of these procedures and cannot guarantee when funds will be returned or whether a chargeback will be successful.

Virtual cards may expire, be replaced, suspended or permanently closed in accordance with the applicable card programme rules, operational requirements or the PrimCard Terms and Conditions.

Where supported by the relevant card programme, customers may be able to withdraw the remaining balance from a virtual card. This functionality is not available for every card product and may be subject to additional operational requirements or applicable fees.

Customers are responsible for protecting their virtual card details and must not disclose their card number, security code, one-time authentication codes or other sensitive information to unauthorised persons.

If a customer believes that a virtual card has been compromised, used without authorisation or exposed to fraud, the card should be frozen immediately where this functionality is available, and PrimCard should be notified without undue delay.

PrimCard applies reasonable security measures to protect virtual card services but cannot eliminate all risks associated with online payments, merchant systems, payment networks or cybersecurity threats affecting third-party infrastructure.

By using a PrimCard virtual card, you acknowledge that payment processing involves third-party systems outside PrimCard's direct control and that certain operational risks are inherent in the use of electronic payment services.

Technology and platform risks

PrimCard is provided through a combination of software, cloud infrastructure, payment technology and blockchain connectivity. Although we aim to provide a reliable and secure platform, no technology service can guarantee uninterrupted availability or operate without the possibility of technical issues.

The availability of the PrimCard platform depends on multiple systems working together, including internet connectivity, cloud infrastructure, payment networks, blockchain networks, security services and authorised infrastructure providers. An interruption affecting any of these systems may temporarily affect the availability of PrimCard services.

From time to time, PrimCard may perform scheduled maintenance, software updates, infrastructure upgrades or security improvements. During these periods, some services may be temporarily unavailable or operate with limited functionality.

Unexpected service interruptions may also occur due to software defects, hardware failures, cyberattacks, distributed denial-of-service attacks, internet outages, data centre incidents or other technical events beyond PrimCard's reasonable control.

PrimCard applies appropriate technical and organisational security measures designed to reduce operational risks and protect customer accounts. However, no technology platform can eliminate all risks associated with online services, software systems or internet communications.

Customers are responsible for ensuring that they use compatible devices, supported web browsers and secure internet connections when accessing the PrimCard platform. PrimCard cannot guarantee compatibility with every operating system, browser version, mobile device or third-party application. Certain functionality may vary depending on the device or software used.

Temporary delays may occur when processing transactions, displaying account balances, updating transaction history or synchronising account information. Such delays do not necessarily indicate that a transaction has failed or that funds have been lost.

PrimCard continuously monitors the performance of the platform and may temporarily restrict or suspend certain services where necessary to protect system stability, investigate technical issues or maintain platform security.

As technology continues to evolve, PrimCard may replace, upgrade or discontinue software components, infrastructure providers or technical services where reasonably necessary to improve reliability, security or operational performance.

Customers acknowledge that technology-related risks cannot be completely eliminated and accept that temporary interruptions, delays or technical failures may occur despite PrimCard's ongoing efforts to maintain a secure, reliable and resilient platform.

Third-party provider risks

PrimCard relies on carefully selected third-party service providers to support the operation of the platform. These providers may deliver services including virtual card programmes, payment processing, blockchain connectivity, cloud infrastructure, fraud prevention, communications, cybersecurity and other operational functions necessary for the delivery of PrimCard services.

Although PrimCard carefully selects its service providers and continuously monitors the performance of its platform, certain services depend on systems and organisations that are outside PrimCard's direct control.

The availability of the PrimCard platform may therefore be affected by service interruptions, technical failures, operational changes, security incidents or business decisions made by authorised third-party providers.

Third-party providers may perform scheduled maintenance, implement software updates, modify their services or temporarily suspend operations without prior notice to PrimCard. Changes implemented by authorised service providers may affect the availability of certain features, supported digital assets, funding methods, virtual card products or transaction processing times.

PrimCard cannot guarantee the continued availability of any specific third-party service, infrastructure provider or technology partner. Where a third-party provider modifies or withdraws a service, PrimCard may replace that provider, modify the affected service or discontinue certain functionality where reasonably necessary to maintain the operation of the platform.

Certain transaction processing times depend entirely on third-party systems, including payment networks, blockchain networks and authorised infrastructure providers. PrimCard accepts no responsibility for delays caused by such systems where those delays are outside our reasonable control.

Virtual card transactions, refunds, reversals and chargebacks are processed through payment networks and authorised infrastructure providers. PrimCard cannot guarantee the timing, outcome or availability of these processes where they depend upon third-party systems.

Customers acknowledge that third-party providers maintain their own operational procedures, security controls and business continuity arrangements. PrimCard does not control the internal systems, infrastructure or decision-making processes of those providers.

Although PrimCard takes reasonable steps to work only with reputable providers, we cannot guarantee that third-party systems will always operate without interruption, error or security incidents. Where a third-party provider experiences a service interruption, cybersecurity incident, operational failure or other event affecting the delivery of services, PrimCard will make reasonable efforts to minimise disruption and restore normal service as soon as reasonably practicable.

By using the PrimCard platform, you acknowledge that certain services depend upon third-party infrastructure and that operational risks associated with those providers cannot be completely eliminated despite PrimCard's ongoing monitoring, due diligence and risk management procedures.

Fraud and security risks

Although PrimCard applies robust security controls designed to protect customer accounts and transactions, no online platform, software application or payment service can guarantee complete protection against fraud, cybercrime or unauthorised access.

Customers play an important role in protecting the security of their PrimCard account and should take reasonable steps to safeguard their login credentials, virtual card details and personal information at all times.

You are responsible for maintaining the confidentiality of your username, password, transaction PIN, one-time verification codes and any other security credentials associated with your PrimCard account.

PrimCard will never request your password, transaction PIN or authentication codes through unsolicited emails, telephone calls, text messages or social media. Customers should treat any such communication as suspicious and report it to PrimCard immediately.

Cybercriminals may attempt to gain unauthorised access to customer accounts through phishing, malware, social engineering, fraudulent websites or other deceptive methods. PrimCard cannot prevent attacks carried out directly against a customer's own devices or personal accounts.

Customers should ensure that the devices used to access PrimCard are protected with appropriate security measures, including strong passwords, software updates, antivirus protection and secure internet connections.

If you believe your account, virtual card or security credentials have been compromised, you should immediately freeze your virtual card where available, change your password and notify PrimCard without undue delay.

Fraudulent transactions may occur where criminals obtain access to customer information through methods outside PrimCard's control. Prompt reporting significantly improves PrimCard's ability to investigate suspicious activity and take protective action.

PrimCard continuously monitors customer activity using automated fraud prevention systems and internal security procedures. Transactions or account activity considered unusual may be delayed, restricted or reviewed before processing. For security reasons, PrimCard does not disclose the detailed operation of its fraud detection systems, security controls or monitoring procedures.

Customers should regularly review their account activity, transaction history and virtual card usage to identify any unauthorised or unexpected activity as early as possible.

No security system can eliminate all risks associated with internet-based services. By using the PrimCard platform, customers acknowledge that cyber threats continue to evolve and accept that, despite PrimCard's ongoing investment in security, certain fraud and cybersecurity risks remain inherent in the use of digital financial services.

Limitation of responsibility

PrimCard is committed to providing a secure, reliable and professionally operated platform. However, customers acknowledge that the use of digital assets, blockchain technology, virtual payment cards and internet-based services involves risks that cannot be completely eliminated.

To the fullest extent permitted by applicable law, PrimCard shall not be responsible for losses arising from events or circumstances beyond its reasonable control. This includes, without limitation, losses resulting from blockchain congestion, network outages, protocol changes, payment network interruptions, internet failures, cloud infrastructure incidents, cybersecurity attacks, service interruptions affecting authorised infrastructure providers or other third-party systems upon which PrimCard reasonably relies.

PrimCard shall not be responsible for losses resulting from incorrect wallet addresses, unsupported blockchain networks, unsupported digital assets, incorrect transaction details or any other instructions submitted incorrectly by the customer. Customers remain solely responsible for ensuring that all transaction details are accurate before confirming any blockchain transfer or virtual card funding transaction.

PrimCard accepts no responsibility for losses resulting from fluctuations in the market value of cryptocurrencies or changes in exchange rates before, during or after a transaction.

PrimCard does not guarantee that every transaction, virtual card funding request, merchant payment, refund, reversal or chargeback request will be processed successfully or within any particular timeframe. The availability and operation of certain services depend upon authorised third-party providers, merchants, payment networks and blockchain networks over which PrimCard has no direct control.

PrimCard is not responsible for the quality, delivery, legality or performance of goods or services purchased from merchants using a PrimCard virtual card. Any dispute relating to goods or services purchased from a merchant remains solely between the customer and the relevant merchant, subject to any rights available under the applicable payment network rules.

Customers are responsible for protecting their own account credentials, virtual card details and personal devices. PrimCard shall not be responsible for losses resulting from unauthorised access arising from the customer's failure to maintain appropriate security over their account or devices.

PrimCard may temporarily suspend services, delay transactions or apply additional verification where reasonably necessary to protect customers, comply with legal obligations or maintain the security and integrity of the platform. Such protective measures shall not give rise to any liability on the part of PrimCard where taken in good faith.

Nothing in this Risk Disclosure excludes or limits any liability that cannot lawfully be excluded or limited under applicable law, including liability arising from PrimCard's fraud, wilful misconduct or any other liability that mandatory law requires to remain with PrimCard.

By using the PrimCard platform, you acknowledge that you understand the risks described in this Risk Disclosure and accept that the use of digital assets, blockchain technology and virtual payment services involves risks that cannot be completely eliminated despite PrimCard's ongoing commitment to security, compliance and operational resilience.

Changes to this Risk Disclosure

PrimCard may amend, update or replace this Risk Disclosure from time to time to reflect changes in our services, technology, operational procedures, legal obligations, regulatory requirements or evolving risks associated with digital assets and virtual payment services.

The latest version of this Risk Disclosure will always be published on the PrimCard website together with the date on which it became effective.

Where changes materially affect the risks associated with the PrimCard platform, PrimCard may provide additional notice through the website, customer dashboard, email or other appropriate communication channels where reasonably practicable.

Your continued use of the PrimCard platform after an updated Risk Disclosure becomes effective constitutes your acknowledgement of the revised document to the extent permitted by applicable law.

Previous versions of this Risk Disclosure may be retained by PrimCard for legal, regulatory, audit and record-keeping purposes.
